。为明确双方权利义务，保护当事人双方的合法权益，特订立如下条款：Party A agrees to let Party B sell its proprietary stone products, namely: ___________on consignment basis.

第一章 定义

第三章 甲方的权利和义务
甲方根据本合同规定的权限、区域、期限，授予乙方代理销售本合同产品。
甲方在合同规定期限内，提供合同产品。
甲方在合同规定期限内，向乙方提供代理销售合同产品必需的合法文件和有效证书。

第四章 乙方的权利和义务

②货物到达目的的口岸后，买方可委托当地的商品检验机构对货物进行复检。如果发现货物有损坏、残缺或规格、数量与合同规定不符，买方须于货到目的口岸的天内凭检验机构出具的检验证明书向卖方索赔。
③如买方提供索赔，凡属品质异议须于货到目的的口岸之日起天提出;凡属数量异议须于货到目的口岸之日起天提出。对所装货物所提任何异议应由保险公司、运输公司或邮递机构负责的，卖方不负任何责任。
13.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。forcemajeure：thesellersshallnotholdanyresponsibilityforpartialortotalnon-performanceofthiscontractduetoforcemajeure.butthesellersshalladvisethebuyersontimesofsuchoccurrence.
14.争议之解决方式：

15.法律适用

(13)不可抗力：因为人力不可抗力的原因，产生在制造、装载或运输的进程中导致卖方延期交货或不能交货者，卖方可免除责任。在不可抗力产生后，卖方须立即电告买方及在14天内以空邮方法向买方供给变乱产生的表明文件，在上述环境下，卖方仍须当真采纳办法尽快发货。
Force Majeure:
The sellers shall not be held responsible for the delay in shipment o r non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing o r in the course of loading o r transit. 16. without any penalty to buyer买方不须负担任何罚款：

17.weighment重量：

发票上的实际重量应以船舶在装货港的吃水鉴定作为货品实际重量，鉴定报告是由sgs (pt.sucofindo)/ciq以实际货量调整额为基准所开出，费用由卖方负担，此一数量额为买卖双方共同所接受。

19. moisture content水分含量：
the moisture content shall be determined by obtaining the moisture loss at 105 degrees centigrade. if the moisture loss exceeds 8 % seller shall adjust the final weight obtained from draft survey by the excess moisture content so found, a nd invoice only the resulting net weight.
水份含量是以摄氏105℃下水气逸失后所测得知湿度值8%基准，若所测之知湿度值超过8%时，卖方必须按照船身吃水鉴定报告来调整出最后实际重量，发票仅依净重。
20. sampling a nd analysis抽样及分析：
all sampling a nd analysis relevant to the contract terms shall be conducted at load port.
依照合约内容所进行的采样及分析工作应于装货港口实施之。
supposing the cargo gets any discrepancy between the inspection at discharge port a nd the sgs (pt.sucofindo)/ciq(according to the agreement). the ending result by ciq for this contract.
若买方在卸货港检验时与卖方的sgs (pt.sucofindo)/ciq证明(符合合约规范)有所差异时，以ciq检验为最终检验标准结果。
21.title to cargo货物所有权：
the title with respect to the shipment shall pass from the seller to the buyer when the seller receives reimbursement of the proceeds from the opening bank through the negotiating bank against the relative shipping documents as forth herein. the seller shall have full right a nd title to dispose of the cargo in any manner that he should think fit, if the payment is delayed o r any unreasonable objection is raised by the opening o r negotiating bank.
卖方于检附海运提单及相关文件经由押汇行向开状银行取得应收的押汇款后，货物所有权同时归买方所拥有。
若开状银行或押汇行以不合理之异议作为拒付或者有延迟付款情形产生时，卖方有完全的权利以其单方所认定的合适方法对货物做任何的处理。
22. inspection检测:
draft survey weight at loading port certified by sgs (pt.sucofindo) at the loading port shall be final subject to 0.5% franchise against b/l weight.
in case, there is a difference in weight compared to b/l weight exceeding 0.5%, buyer o r seller will compensate the amount in excess o r shortage (including 0.5%). seller may appoint a surveyor at discharging port at the seller’s expense. inspection certificates issued by ciq at the discharging port shall be deemed as final. all compensation amounts in excess o r shortage between the buyer a nd the seller will be paid within 7 (seven) banking days.

八.甲方的义务：
Ⅷ. Obligations of Party A:
1.甲方须按时将房屋及附属设施(详见附件)交付乙方使用。
Party A shall turn over the premises and accessory facilities (details refer to the appendix) on schedule to Party B for use.
2.房屋设施如因质量原因，自然损害或灾害而受到损害时，甲方有修善的任务并承担有关的费用。
Party A shall be responsible for repairing any damage of the premises due to poor quality, natural tear and wear or calamities and bear the expenses thereof.
3.甲方应确保其为出租房屋的合法拥有人，按中国法律该房屋可以出租，如在租赁期内，该房屋发生所有权全部或部分的转移，设定他项物权或其他影响乙方权益的事情时，甲方应保证所有权人，他项权利人或其他影响乙方权益的第三者，能继续遵守本合同所有条款，反之如乙方权益因此而遭受损害，甲方应付赔偿责任。

Otherwise Party A shall be liable for compensating the loss to the rights and interests suffered by Party B there from.
九.乙方的义务：
Ⅸ. Obligations of party B:
1.乙方应按合同的规定，按时支付租金，保证金及其他各项费用。
Party B should pay the rental, deposit of security and other fees payable on schedule according to the provisions of the Contract.
2.乙方经甲方同意，可在承担租用房内进行装修及添置设备。租赁期满后，乙方可将添置的可拆动的动产部分自行拆运，并保证不影响房屋的完好及清洁使用。

3.未经甲方同意，乙方不得将承担租的房屋转租或分租给第三方，并爱护使用租赁的房屋。如因乙方的过失或过错致使房屋及设施受到损坏，乙方应付赔偿责任。

4.乙方应按本合同的约定合法使用租赁房屋，不得擅自变更使用性质，不应存放危险物品，如因此发生损坏，乙方应承担全部责任。
Party B shall use the leased premises lawfully according to the provision of the contract. Party B shall not arbitrarily change the use of the said premises. No hazardous materials and goods shall be allowed to be kept in the premises. If any damage is attributable to such use, Party b shall be fully liable for the damage.
5.非房客人为因素造成的设备和家具损坏，由房东负责修缮或更换，如房东在接到房客通知的十天没有及时修缮或更换，房客有权自己去更换或修缮，费用由房东承担，房东应负责房屋结构的维修，除非损坏是由于房客人造成的，其中日常消耗品的'更换费用由乙方承担。
In case any equipment in The Property breaks down by natural use by The Tenant, it is The Landlord’s responsibility to arrange and pay for the costs of repair or replacement. In the event that The Landlord fails to repair or replace such equipment within a reasonable time (being less than ten days from he date on which the problem was notified to The Landlord) The Tenant shall have the right to arrange for repair or replacement and the costs are to be reimbursed to the Tenant by The Landlord. The landlord is responsible for the repair and upkeep and repair of the structure of The Property, except where and to the extent it is damaged due to the negligence of The Tenant. Party B is responsible for the daily consumption.
十.同终止及解除的规定：
Ⅹ. Termination and dissolution of the Contract:
1.乙方在租赁期满后，如需续祖或退租，应提前一个月通知对方，由双方另行协商续租事宜。

A of such intention one month prior to the expiration of the lease term. Then the two parties shall discuss matters over the renewal of leasehold.
2.租赁期满后，乙方应在当日内将承担的房屋及设施在正常清洁状态下交还甲方，如有留置的任何物品，在未取得甲方的谅解之下，均视为放弃，任凭甲方处置，乙方绝无异议。

3.合同一经双方签定后立即生效，未经双方同意，不得任意终止，如有未尽事宜，甲、乙双方可另行协商。
This Contract shall come into force upon the date of being signed by both parties. It must not be terminated at will without the approval of both parties, Anything not covered in the contract must be consulate separately by party A and party B.
4.同任何一方在不可抗力事件(地震，战争，自然灾害，政治因素)而不能履行本合同义务时，本合同将自然终止，未租租金及全部押金将返还给乙方。
In the occurrence of force majeur (Earthquake, War, Natural Calamity, Government
complication ),this contract can be terminated in any of the cases above, and the Tenant should get back all the deposit and the rest of the rental pro rata.
十一.违约责任：
Ⅺ. Handling of Breach of Contract:
1.甲、乙任何一方未按本合同的条款执行，导致中途终止本合同，并且过错方在未征得对方谅解的情况则视为违约，双方同意违约金为_________元整。若违约金不足弥补无过错方之损失，则违约方还需就不足部分支付赔偿金。

1.本合同的附件1至附件5是本合同的有效组成部分，具有同等法律效力。附件3、附件4和附件5为本合同必备部分，否则本合同不生效。

2.本合同一式俩甲、乙双方各持一份，有同等法律效果。

1 出租物业

PARTY B shall pay as rent the sum of ; i.e.RMB per month.

The first rental shall be paid before moving in and the following rental shall be paid before the th of each succeeding 1 month’ term. PARTY A shall issue to PARTY B official invoice (Fapiao) upon receiving the rental. Party A shall send prior written notice to Party B for monthly rental payment request.
2.4租金以人民币支票或转账形式支付.
Rental is payable in Ren Min Bi by check or by bank transfer.
2.5 在本租约有效期内，租金不予调整。
Rent will not be modified during the term of this Lease Agreement.
3 押金 Deposit:
3.1乙方须支付相当于两个月房租的押金(即RMB ), 以人民币支票或转帐形式支付)。甲方应在收到押金后向乙方开具统一收据。
A deposit of two (2) months’ equivalent rental (RMB ) shall be paid by PARTY B in RMB by check or by bank transfer. PARTY A shall issue to PARTY B official receipt upon receiving the deposit.
3.2押金在合同终止后10天内由甲方以相同币种全额退还给乙方(不计利息)。如果延期返还，则每延期一日，按每日万分之四支付给乙方利息。
The deposit shall be refundable in full amount in 10 days after the contract expiration, in same currency and excluding interest thereupon. In case PARTY A delays the refund of the deposit, PARTY A shall pay interest to PARTY B at the rate of 0.04% per day of delay.
3.3甲方应按时付清各种帐单。若以上出租房屋及其家具、设备等因乙方原因出现遗失或非正常的损坏，乙方应负责赔偿。
PARTY A shall pay off on time all the bills due. In case there is any loss or unusual damage to the furnishings, contents or the rental premises due to PARTY B’ s reason, PARTY B shall compensate for it.
4 租期

5 出租人的责任
PARTY A’s obligation:
5.1 3甲方声明及保证甲方为该出租房屋的合法拥有人，有合法地位出租此房屋，并就出租事宜已取得有关方面的批准。
PARTY A assures to be the legal owner of the leased premises, to have the necessary legal capacity to lease it, and PARTY A’ action has been ratified by the authorities concerned.
5.2租赁期内，若甲方出售该出租房屋导致该出租房屋所有权发生转移,甲方须保证本合同能继续执行。
In case PARTY A sells the premises during the lease which leads to the premises ownership be transferred, PARTY A shall ensure that the said contract will be implemented continuously.
5.3甲方须按时将清洁状况良好的出租房屋交付乙方使用，保证在租赁期内出租房屋内的各项设施能正常使用。
PARTY A shall hand over the said premises to PARTY B on time and assure the said premises will be cleaned and in good status during the lease term.
5.4甲方有义务负责出租房屋及设施的正常维护和保养，如房屋或设施非因甲方原因出现故障，甲方应在收到乙方通知后二十四(24)小时内自行或通过其他方式解决故障，否则，乙方有权雇佣第三方进行维修，由甲方承担所有费用并承担相关责任。由于不可抗力(如地震、台风、洪水、非人为的火灾等)、自然损耗或乙方以外的原因造成的损坏，亦由甲方承担有关费用。
PARTY A shall bear the responsibility of the said premises’ normal repairs and maintenance, and pay the cost related. In case the premises or facilities are in bad conditions not due to the reason of PARTY B, PARTY A shall complete the repair work within 24 hours upon receipt of the notice from PARTY B. Otherwise, PARTY B shall have the right to hire any third parties for the repair work at the cost of PARTY A. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood non-man made fire, etc) reasonable wear and tear or by accidents beyond PARTY B’S control, should also be borne by PARTY A.
5.5租赁期内，在乙方遵守合同及支付租金的前提下，未经乙方允许，甲方不得进入该出租房屋。
During the lease, PARTY A shall not get in the said premises without PARTY B’S permission if PARTY B has been carrying out the contract normally.
5.6甲方应督促管理公司向乙方提供足够的服务，如冷水、热水、煤气,电的供应及各种设备的正常工作。
Party A shall direct Property Management Company to provide sufficient and continuous services to Party B, including provision of cold water, hot water, gas and electricity and ensure proper maintenance of equipment therein.
5.7 房产税及与租赁有关的所有税费由甲方承担。
Premises tax and other leasing related taxes shall be paid by PARTY A.
6 承租方的责任
PARTY B’S obligations:
6.1 乙方申明及保证其在中国拥有合法居留权，并按有关规定办理必要的居住登记手续。
PARTY B assures to have the legal right of residence in China, and shall complete the residential formalities complying with the local regulations.
6.2 住客应按时支付电话费含上网费、水电煤气费。
The occupant shall pay the telephone bills and internet fee, extra water electricity gas fee on time.
6.3 乙方只能将出租房屋用做住宅，不得将之用作公司及代表处的注册地址，亦不可作为公开的办公室。
The premises are limited for residential use only by PARTY B, and are prohibited from registering as legal address for any company or agency, or using as public office.
6.4 乙方不得在出租房屋内进行违反法律及政府对出租房屋用途有关规定的行为。
PARTY B shall not carry in the premises any unlawful or illegal activities which are not allowed according to the leasing regulations from the government.
6.5 租赁期内，未经甲方书面同意，乙方不得将出租房屋部分或全部转租他人。
PARTY B shall not partly or totally sublet the said premises without the written permission from PARTY A.
6.6 若因乙方使用不当或不合理使用，出租房屋及其内的设施出现损坏或发生故障，乙方应及时联络管理机构或甲方进行维修，并负责有关维修费用.
The damage of the premises or the fittings that are within the control of PARTY B shall be borne by PARTY B, and PARTY B shall contact the management office or PARTY A instantly.
6.7 租赁期内，乙方对出租房屋进行装修或增加水、电、消防等设施，须经甲方同意并经有关部门批准，并由甲方执行监理，所需费用由乙方承担。双方解约时，乙方不能移走自行添加的结构性设施，甲方亦不必对上述添加设施进行补偿。
PARTY B, upon written permission of PARTY A, may make additions or alterations dealing with water,electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of PARTY A .No structural alterations or additions can be removed from the premises upon the expiration of this contract. No reimbursement for the said additions.
6.8 乙方有权在墙壁上悬挂画、图片或其他装饰性物品。合同履行期限届满或提前解约时，甲方应承担费用拔掉钉子、粉刷墙壁或使墙壁恢复原状，并承诺不以此为由扣留乙方的押金。
PARTY B is entitled to hang pictures, paintings or other decorative articles on the walls. Upon expiration or early termination of the contract, PARTY A shall bear the cost to remove the nails, repaint the wall or restore the wall to the original state, and PARTY A shall not retain PARTY B’S deposit for the reason of doing things above.
6.9租赁合同期满的前一个月内，经合理事先书面通知，乙方应允许甲方或其授权人 引领潜在客人参观在出租房屋。
During the last month of the contract, after reasonable prior written notice to PARTY B, PARTY A or his nominee shall be allowed to show the said premises to the potential clients.
6.10 租赁期满，若甲，乙双方未达成续租协议，乙方应于租期届满时或之前迁离出租房屋并将钥匙及清理干净的房屋归还甲方.
PARTY B shall return the premises in a clean condition to PARTY A (except wear and tear) at the expiration of the contract if there is no renewal thereupon.
7 提前解约Early termination:
7.1六(6)个月后，乙方如要退租，应提前一(1)个月书面通知甲方终止本租约。在此情况下，甲方应在本租约终止后十(10)日内将押金全额退还乙方。
After six (6) months, Party B may, upon one (1) month advance written notice to Party A, terminate this Tenancy Agreement without any liabilities. Under this circumstance, Party A shall return the deposit in full to Party B within ten (10) days after the termination.
7.2 若因自然界的不可抗力，如火灾、洪水、台风、地震、战争等意外损害导致出租房屋无法居住，合同即自动终止，甲、乙双方互不承担责任。
If the said premises are so damaged by force majeure (fire, flood, typhoon, earthquake, war, and etc) that it’s no longer habitable, the contract shall be terminated automatically. Neither PARTY A nor PARTY B shall bear any responsibility to each other.
8 续租
Renewal:
租赁期满，乙方有优先续租权，但须提前一个月通知甲方，并安排签订续租合同。
PARTY B retains the priority to renew this lease upon expiration , while one-month prior notice to PARTY A is necessary, and PARTY A shall arrange the signature for the renewal contract.
9 争议的解决
Dispute Resolution:
9.1 本合同适用法律为中华人民共和国相关法律。
The contract is governed by the laws of the People’s Republic of China.
9.2在履行本合同过程中产生的任何争议由双方协商解决，协商不成，可向中国国际经济贸易仲裁委员会(北京)申请仲裁。
In case of any dispute arising out of the performance of this Contract, PARTY A and PARTY B shall consult
together to reach unanimity, otherwise both parties can submit the dispute to the China International Economic and Trade Arbitration Commission (Beijing) for arbitration.
10 其他
Others:
10.1本合同以中英文两种文字拟成，两种文本同等有效。
The contract is drawn in both Chinese and English versions. Both texts have equal effect.
10.2 本合同一式二份，甲、乙双方各执一份。
Two copies of the contract will be drawn and remained in the possession of PARTY A & PARTY B. 10.3本合同自签定之日起生效。
The contract shall come into force on the date of signature.
10.4本合同的附件是本合同必不可少的组成部分。附件一列明的物品在甲、乙双方核实签字后生效。
The appendix is an indivisible part of this contract. Details listed in appendix 1 shall not come into affect until being checked and signed by both PARTY A and PARTY B.

中英文合同【篇11】
为了开拓双方产品销售市场，达成双赢的利好局面，本着平等协商、互惠互利、共同发展的原则，特订立如下协议内容：
一、甲方做为NIKE,ADIDAD,WILSON,BABOLAT,HEADD,TELOON等品牌经销商，授权乙方代销其所经销产品；乙方无权转让给第三方代销，
品牌代销协议书。
二、合作经营的方式：甲方负责产品成本（包括运输成本）；乙方负责提供场地和售货管理。
三、销售价格：本着销量及利润最大化原则，乙方应当按照甲方规定（甲方天猫店铺售价上下浮动不超过5%）价格销售产品。如果甲方规定的售价格不符合本地区市场情况，乙方需调整销售价格时，应当向甲方报告。甲方应当根据系统的统一性要求和乙方所处地区的市场情况综合考虑，作出调整价格的决定。
五、结算方式：每月25日，甲乙双方须清算本月的销售成本及产品盘点工作；双方确认无误后，乙方需于甲方提供发票后5个工作日内结算商品货款。
1、甲方有权制定和调整产品的销售价格和进货价格。
3、甲方按乙方店容的实际情况，经双方商定后，配货给予乙方总库存最高8万元的商品成本信贷支持。
4、甲方可根据乙方实际销售情况，对库存品类数量进行调整。
5、甲方向乙方免费提供“弘金地羽翔”宣传海报、产品宣传单、货架等销售道具(合同期满1年或解除合同之日回收)；并可按乙方需要，利用自身渠道资源积极配合宣传场馆活动。
6.合作其间，乙方如连续2个月销售额低于6000元，甲方有权解除协议，甲方将撤回在乙方处的所有产品，双方结算后协议失效。
七、乙方的权利和义务：
1、乙方应按甲方的要求对进货产品进行代销，自主售货，自主管理。每月25日与甲方清算本月的销售量并进行盘点工作。
2、乙方在经营过程中，因积极宣传甲方品牌，促进商品销售。
3、乙方在收到甲方货品当时应及时验货，核对数量，如发现有货品缺少，损坏或产品质量问题，应在二个工作日内通知甲方。双方核对确认后，如情况属实，要求甲方补货或调换产品。
4、合作期间，商品如出现滞销状况，乙方可及时反映随时换货，但须保持产品质量完好无损，不能影响二次销售。
5、合作期间，乙方有义务有责任对所在的产品进行月底盘点核对数量，如发现有货品缺少，或者人为损坏，双方核对确认情况属实，乙方要负全部责任。
便甲乙双方严格遵照执行，实现双赢。
7、合作期间，乙方必须严格执行甲方的各项制度和价格政策；必须诚信经营。乙方必须严格遵守国家相关法律法规，如有违反，由此产生的经济损失或法律后果由乙方自行承担。
1、本协议自双方签字之日起生效，有效期为1年。协议期满后，双方如无异议，本协议自动延续1年。若任何一方决定不再延续本协议，应在本协议有效期满前一个月书面通知对方。
2、本协议终止后，在协议有效期内发生的尚未执行完毕的订单有效，并须执行完毕。
3、本协议经双方签字盖章后生效。本协议一式二份，甲乙双方各执一份。
4、本协议经双方协商后订立，双方必须严格执行，合作期间，如有争议，双方协商解决，如协商不成，任何一方可向甲方所在地人民法院申请仲裁或提起诉讼。协议未尽事宜，另行补充；如补充协议有与本协议冲突之处，以补充协议为准。

(8)付款条件： 100%不可撤消可转让即期信用证,在出货前7天收到银行正本信用证。
Payment: 100%L/C at sight，irrevocable and transferable.Have to receive original L/C before 7 days.
(9)单据：卖方向买方提供相关单据。
(10)风险：货物的风险在以下时候转移至买方：
a) 海运时在其越过船舷，摘下挂钩时;
b) 空运时在其已交空运承运人或代理人保管时;
c) 铁路运输时在其已交铁路保管时。
Risk of Loss: The risk of the commodity shall transfer to the Buyer:
a) When it has passed over the rail of the vessel and been released from tackle in case of shipment by sea.
b) When it has been delivered into the custody of the air carrier or agent in case of shipment by air.
c) When it has been delivered into the custody of the railway in case of shipment by rail.
(11)品质/数量异议：如买方提出异议，凡属品质异议应于货到目的口岸之日起3—6个月内提出，凡属数量异议应于
货到目的口岸之日起1—3个月内提出，过期不受理。对所装货物所提任何异议属于保险公司、轮船公司、其他有关运输机构或邮递机构所负责者，卖方不负任何责任。理赔只限于卖方在收到买方所在地声誉良好的商检机构或商会出具的商品抽样检查报告，证明货物与合同不符后，对品质不符的货物按一比一更换或按照货物的疵劣程度和损坏的范围将货物贬值，对数量不符的货物给予补足。无论哪种情况下，卖方均不对货物的可销 性
或适用性负责，也不对任何损失赔偿负责包括但又不限于直接的、间接的、附带的损失，如买方不能在合同规定的期限内将信用证开到或将预付款汇到，或者开来的信用证不符合合同规定，而在接到卖方通知后，不能按期办妥改证，卖方有权撤销合同或延期交货，并有权提出索赔。
Quality/Quantity Discrepancy: In case of quality discrepancy, claims shall be field by the Buyer within 3—6 month after the arrival of the commodity at the port of destination, while for quantity discrepancy, claims shall be field by the Buyer within1—3 month after the arrival of the commodity at the port of destination. Otherwise no claim will be accepted. It is understood that the Seller shall not be liable for any discrepancy of the commodity shipped due to causes for which the insurance company, other transportation organization or post office are liable. The settlement of such claims is restricted to replacement of the non—conforming commodity on a one—to—one basis or devaluation of the commodity according to degree of inferiority and extent of damage in case of quality discrepancy or supply for the shortage in case of quantity discrepancy, after the Seller has received an inspection report on the commodity by sampling issued by a reputable commodity inspection organization or chamber of commerce at the place where the Buyer is located, certifying the non—conformity thereof. In no event shall the Seller be held liable for the merchantability or fitness for any purpose. Nor shall it have any liability or responsibility for damages of any kind whatsoever, including but not limited to any direct, indirect or collateral damages. In case the L/C or the advance payment does not reach the Seller within the time stipulated in the Contract or does not correspond to the Contract terms and the Buyer fails to amend its terms within the time limit after being notified by the Seller, the Seller has the right to cancel the Contract or to delay the delivery of the commodity as well as to lodge claims against the Buyer.
(12)不可抗力：本合同内所述全部或部分货物，如因不可抗力的原因，以致不能履约或不得不延期交货，卖方概不负责。
Force Majeure: The Seller shall not be held liable for failure or delay in delivery of the entire lot or a portion of the commodity under this Contract in consequence of any force majeure incidents.
(13)仲裁：在执行本合同中所产生的或者与合同有关的一切争执，由双方协商解决。如果协商后仍不能解决时，得提
请仲裁。仲裁在中国进行，由中国国际经济贸易仲裁委员会，根据该委员会的仲裁程序暂行规则进行仲裁。仲裁决定为最终决定，买卖双方都应服从。除仲裁委员会另有决定外，仲裁费用由败诉一方负担。
Arbitration: Any or all disputes arising from or in connection with the performance of the Contract shall be settled through
negotiation by both parties, failing which they shall be submitted for arbitration. The arbitration shall take place in China and shall be conducted by the China International Economic and Trade Arbitration Commission in accordance with the provisional rules of procedures of the said commission. The arbitration award shall be final and binding upon both Buyer and Seller . Unless otherwise awarded by the said arbitration commission, the arbitration fees shall be borne by the losing party.
(14)其他条款：在此合同期间因政府出口政策调整而引起的成本增加，则另外计算合同金额。
Other Conditions: Any increase of cost due to national policy adjustment shall be calculated anew.
